This Agreement constitutes an official public offer made by Individual Entrepreneur Yuliia Vitaliivna Osipova (hereinafter referred to as the “Seller”) to enter into a distance sales agreement for goods through the online store shop.sdcc-crewagency.com with any individual or legal entity (hereinafter referred to as the “Buyer”).
1.1. Public Offer (hereinafter referred to as the “Offer”) means a public proposal made by the Seller to an unlimited number of persons to enter into a distance sales agreement with the Seller under the terms and conditions set forth in this Offer.
1.2. Online Store means the Seller’s official website located at https://shop.sdcc-crewagency.com, intended to provide Buyers with descriptions, specifications and prices of the Goods and to enable Buyers to place Orders.
1.3. Goods means marine uniforms, specialised and protective footwear, accessories and related products presented on the Online Store website.
1.4. Buyer means any legally capable individual, individual entrepreneur or legal entity that has accepted the terms of this Offer and placed an Order through the Online Store.
1.5. Seller means Individual Entrepreneur Yuliia Vitaliivna Osipova (Taxpayer Registration Number 3887805662), who sells the Goods through the Online Store shop.sdcc-crewagency.com.
2.1. The Seller undertakes to transfer the Goods into the ownership of the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms and conditions of this Agreement.
2.2. This Agreement governs the sale and purchase of goods through the Online Store, including the Buyer’s voluntary selection of goods, independent placement of an order, payment and delivery of the goods to the Buyer.
3.1. The Buyer independently places an Order through the Online Store by adding the selected Goods to the “Cart” and completing the relevant order form or by using the telephone numbers indicated on the website.
3.2. When placing an Order, the Buyer provides the following information: surname, first name, patronymic where applicable, contact telephone number, email address, delivery address or the number of the selected delivery service branch.
3.3. An Order shall be deemed accepted for fulfilment after confirmation by the Seller via email or through the Buyer’s contact telephone number.
4.1. The price of each item is determined by the Seller and indicated on the pages of the Online Store. The applicable currency is displayed directly on the relevant product page and during checkout.
4.2. The Seller has the right to change the price of any item unilaterally before the Order is confirmed.
4.3. Payment shall be made through the payment systems available on the website or by bank transfer to the Seller’s current account.
4.4. The date of payment shall be the date on which the funds are credited to the Seller’s current account.
5.1. Delivery of the Goods within Ukraine is carried out by transport and logistics companies (“Nova Poshta”, “Ukrposhta”) to the address or branch specified by the Buyer.
5.2. Delivery outside Ukraine (International Delivery / Worldwide Shipping) is carried out by international postal and courier services subject to prior agreement with the Buyer.
5.3. Delivery costs are calculated according to the carrier’s applicable tariffs and are paid separately by the Buyer unless otherwise provided by the Seller’s promotional terms.
6.1. The return and exchange of Goods of proper quality shall be carried out in accordance with the Law of Ukraine “On Consumer Protection” within 14 (fourteen) days, excluding the day of purchase.
6.2. Goods of proper quality may be returned provided that they have not been used and that their original appearance, consumer properties, seals and labels have been preserved, together with the payment document issued with the Goods.
6.3. Delivery costs associated with the return or exchange of Goods of proper quality shall be borne by the Buyer.
6.4. If defects in the Goods are discovered during the applicable warranty period, the Buyer shall be entitled to the remedies provided for in Article 8 of the Law of Ukraine “On Consumer Protection”.
7.1. The Seller undertakes to: transfer Goods of proper quality to the Buyer in accordance with the placed Order and the terms of this Agreement; provide accurate information about the Goods; maintain the confidentiality of the Buyer’s personal data.
7.2. The Seller has the right to: amend the terms of this Agreement and the prices of the Goods unilaterally by publishing the current version on the Online Store website; refuse to fulfil an Order if the Goods are unavailable or if the Buyer has provided inaccurate or incomplete information.
7.3. The Buyer undertakes to: review the contents of this Offer and the applicable order terms; provide accurate information required for processing and delivering the Order; pay for and accept the ordered Goods in full and on time.
8.1. Acceptance of this Offer and conclusion of the Agreement shall occur when the Buyer places an Order on the Online Store website or makes payment for the Goods.
8.2. Ownership of the Goods and the risk of their accidental loss or damage shall pass to the Buyer upon the actual transfer of the Goods to the Buyer or to a recipient authorised by the Buyer.
9.1. The Parties shall be liable for failure to perform or improper performance of the terms of this Agreement in accordance with this Agreement and the applicable legislation of Ukraine.
9.2. All disputes and disagreements arising in connection with the performance of this Agreement shall be resolved through negotiations. If no agreement can be reached, the dispute shall be referred to the competent court in accordance with the applicable legislation of Ukraine.
10.1. The Parties shall be released from liability for partial or complete failure to perform their obligations under this Agreement if such failure results from force majeure circumstances, including natural disasters, military actions, transport route blockages, disruptions in the operation of payment systems, postal or logistics services, decisions of public authorities and other circumstances that the Parties could not reasonably foresee or prevent.
11.1. By placing an Order through the Online Store, the Buyer consents to the collection, processing, systematisation, storage and use of their personal data by the Seller in accordance with the Law of Ukraine “On Personal Data Protection”.
11.2. The Buyer’s personal data shall be used exclusively for processing and fulfilling the Order, carrying out payments, delivering the Goods, issuing refunds, communicating with the Buyer and complying with legal requirements.
12.1. This Agreement shall enter into force upon the Buyer’s acceptance of the Offer and shall remain valid until the Parties have fully performed their obligations.
12.2. The Seller has the right to amend this Offer at any time. Amendments shall enter into force upon publication on the Online Store website and shall not apply to Orders confirmed before such publication unless otherwise provided by law.
